END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Anton Susov ("Licensor") for the use of the CogniSpectix web application ("Application").
1. LICENSE GRANT
Licensor grants User a non-exclusive, non-transferable, revocable license to use the Application via a web browser on a subscription basis, solely for personal or internal business use in accordance with this Agreement.
2. RESTRICTIONS
User may not:
  • Modify, reverse-engineer, decompile, or disassemble any part of the Application;
  • Bypass or disable any encryption, security, or licensing mechanisms;
  • Use the Application to develop a competing product;
  • Redistribute, sublicense, or resell the Application or its components.
3. OWNERSHIP
All intellectual property rights in and to the Application, including without limitation copyrights, patents, trade secrets and know-how, are owned exclusively by the Licensor. This Agreement does not grant the User any ownership interest in the Application. The name “CogniSpectix”, the CogniSpectix logo, and any other trademarks, service marks, trade dress, domain names or branding elements used in connection with the Application (the “Marks”) are owned by the Licensor and protected under applicable trademark laws.
4. SUBSCRIPTION AND PAYMENT
The Application is currently offered free of charge as part of a beta testing period. Licensor reserves the right to introduce subscription fees or other payment requirements upon the official release of the full version. Users will be notified in advance of any changes to the pricing model, and continued use after such changes will constitute acceptance of the new terms.
5. USER DATA
The Application is designed to process and store user-generated content locally in the browser where technically feasible. Licensor is not responsible for the loss, corruption, or exposure of user-generated data. However, certain metadata, authentication information or usage analytics may be transmitted to Licensor’s servers. See the Privacy Policy for details.
6. DISCLAIMER OF WARRANTY
The Application is provided "AS IS" and is currently in beta. As such, it may contain bugs, errors, or other issues that may affect functionality or performance. Licensor makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Use of the Application is at the User’s sole risk.
7. LIMITATION OF LIABILITY
Licensor shall not be liable for any damages arising from the use or inability to use the Application, including incidental, indirect, or consequential damages.
8. TERMINATION
Licensor may terminate this Agreement or modify, suspend, or discontinue the Application (in whole or in part) at any time, with or without notice, particularly during the beta phase. Upon termination, User must cease all use of the Application.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Germany. By using the Application, you agree to be bound by the terms of this Agreement.
10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings.
11. TERRITORIAL RESTRICTIONS
The Application and related services are not provided to citizens or residents of the Russian Federation. Due to the requirements of Russian Federal Law No. 152-FZ “On Personal Data” (as amended effective July 1, 2025), which prohibit primary processing of personal data of Russian citizens using databases located outside Russia, Licensor does not offer access or use of the Application to RF residents. By using the Application, you represent and warrant that you are not a citizen or resident of the Russian Federation and will not use it from Russian territory. Violation of this restriction constitutes a material breach, entitling Licensor to immediately terminate access without notice or refund.
